Service agreement and project terms.

The plain-language version of how a project works, so the terms are clear before you reach out. The final agreement is tailored to each project, sent with the written quote, and signed before any work begins.

In this agreement, "OC Product Studio" means OC Product Studio LLC, a California limited liability company doing business as OC Product Studio. "You" or "the client" means the person or business commissioning the work.

1. Scope, deliverables, and pricing

Each project is defined in your project scope and written quote: the products, the number of images, the angles, the deliverables, and any 360° spins or short clips. Pricing and deliverables are whatever is set out there. Pricing is per project, never per hour.

2. Payment and deposit

Amounts and schedule are set in your written quote. A 50% deposit reserves your shoot time and is applied to the total; it compensates for the photography time held for you and is non-refundable if the project is cancelled. OC Product Studio accepts all major credit cards, debit cards, and ACH bank transfers. Credit-card payments carry a small administrative fee; debit-card and ACH payments have no administrative fee. Final files are released only after payment has cleared in full (see section 6).

3. Product handling and shipping

Local clients can hand off product in person; sellers anywhere can ship it in, and OC Product Studio handles your product with care while it is in the studio's possession. We are not responsible for shipping costs, for any loss or damage to products that happens in transit, or for return shipping costs on items shipped to us. Please pack and insure your shipments accordingly. Our responsibility for a product while it is in our care is limited as set out in section 11.

4. Planning the shots

We agree the angles and the look up front, before the shoot, so there are no surprises when files land. Telling us clearly how and where the images will be used helps us shoot the right thing the first time.

5. Revisions

One revision is included on edited and styled photos. Because we choose the angles together before the shoot, white-background stills are final on delivery. Extra revisions or reshoots beyond that are quoted separately.

6. Delivery and turnaround

Final deliverables are provided through a private download link once final payment has cleared in full. Delivery and turnaround times are those set in the service-level agreement (SLA) in your project scope.

7. Using your images

Clients receive an unlimited license to use the delivered images for their business: store, listings, ads, and social. This is a license, not a transfer of copyright. OC Product Studio retains copyright in the images and may feature the work in its portfolio and marketing, unless the client opts out in writing.

8. Rescheduling and cancellation

Rescheduling an onsite shoot must be requested at least 48 hours in advance. The 50% deposit reserves and compensates for the photography time, so it is non-refundable on cancellation. There is no cancellation fee for changes made more than 48 hours before the shoot.

9. Force majeure (acts of God)

Neither of us is responsible for delays or failure to perform caused by events beyond reasonable control, including acts of God or nature, severe weather, fire, flood, earthquake, illness, power or internet outages, shipping-carrier failures, or government action. Timelines affected by such an event are extended by a reasonable period while it continues.

10. Indemnification

Clients confirm they own or hold the rights to the products they provide and to anything shown with them, and agree to indemnify and hold OC Product Studio harmless from any claim, loss, or expense arising out of those products or the use of the delivered images, including claims of intellectual-property infringement, product safety, or advertising.

11. Limitation of liability

To the fullest extent allowed by law, OC Product Studio's total liability for a project, including any loss of or damage to a product while it is in our care, is limited to the fees paid for that project. OC Product Studio is not liable for indirect, incidental, or consequential losses, such as lost sales or profits.

12. Standard terms

OC Product Studio works as an independent contractor, not the client's employee. This agreement, together with the project scope and written quote, is the entire agreement between OC Product Studio and the client and replaces any earlier discussions. If any part is found unenforceable, the rest stays in effect. Projects are governed by the laws of the State of California, with venue in Orange County, California.
